A management letter is not a scorecard. It records observations from walkthroughs and testing. Ranking every point as urgent exhausts the team; ignoring all of them invites the same findings next year.
Separate design gaps from operating exceptions
A missing approval matrix is a design issue. A single unsigned invoice in a strong process is an exception. Fix design first when the control is meant to prevent material misstatement.
Owner, deadline, evidence
Assign each accepted point to a named owner with a realistic date and the evidence auditors should see next year — for example, monthly bank reconciliation sign-offs stored in a shared folder with dates visible.
Tell the board a short story
Boards rarely need every sample size. They need which cycles failed, what changed in people or systems, and whether cash, inventory, or revenue recognition is involved.
